These Terms & Conditions (“Terms”) govern use of heel-o.com and purchases from HEEL-O Wellness, LLC (“HEEL-O,” “we,” “us,” or “our”). By using the website or completing a purchase, you agree to these Terms.

1. HEEL-O Products and Programs

HEEL-O develops nighttime skin-care products and specialized hydration garments. Products offered through heel-o.com may include merchandise available for ordinary purchase as well as clearly identified products offered on a pre-order basis. The availability and fulfillment terms applicable to a product will be disclosed on its applicable product or checkout page.

2. NIGHTWELL Calming Hydration Ritual — Regular Purchase

The HEEL-O® NIGHTWELL™ Calming Hydration Ritual consists of:

HEEL-O® NIGHTWELL™ Calming Hydration Balm, and HEEL-O® NIGHTWELL™ 17.5-Inch Ritual Applicator. These products are sold together as a set and are not sold separately unless HEEL-O expressly states otherwise. A standalone purchase of the HEEL-O® NIGHTWELL Calming Hydration Ritual does not include HEEL-O® Overnight Hydration Socks, Overnight Hydration Mittens, or any other future HEEL-O garments. The HEEL-O® NIGHTWELL Ritual is complementary to HEEL-O's broader nighttime skin-care system but may be purchased and used independently according to its directions.

3. HEEL-O Founding Circle — $150 Purchase

The $150 HEEL-O Founding Circle offer is a separate bundled purchase. The Founding Circle package includes:

• HEEL-O® NIGHTWELL™ Calming Hydration Balm

• HEEL-O® NIGHTWELL™ 17.5-Inch Ritual Applicator

• HEEL-O® Overnight Hydration Socks — Founding Edition

NOTE:

The Overnight Hydration Socks are currently in development and constitute "the first" pre-order component of the Founding Circle purchase. The Founding Circle package therefore includes both currently available complementary merchandise and merchandise offered on a pre-order basis.

4. Founding Circle Sock Pre-Order

The HEEL-O Overnight Hydration Socks included in the Founding Circle are currently in development and are not represented as available for immediate shipment.

HEEL-O expects to fulfill the sock component within six (6) months of the customer's Founding Circle purchase date, based upon HEEL-O's reasonable production expectations at the time the order is accepted. The six-month shipment period will be clearly disclosed before the customer completes the purchase. Federal rules require online sellers to have a reasonable basis for the shipping timeframe they represent. If a seller later learns that merchandise cannot be shipped within the promised time frame, specific delay, cancellation, consent, and refund requirements apply.

5. Fulfillment of Founding Circle Components

HEEL-O may fulfill the available HEEL-O® NIGHTWELL™ Calming Hydration Balm and HEEL-O® NIGHTWELL™ 17.5-Inch Ritual Applicator before the Overnight Hydration Socks are ready, or may ship the Founding Circle components together, as disclosed to the customer. Shipment of the HEEL-O® NIGHTWELL Balm and Ritual Applicator does not mean that the sock pre-order has been fulfilled. Customers will receive appropriate order and shipment information identifying the components being fulfilled at the time of fulfillment.

6. Six-Month Sock Fulfillment Commitment

If HEEL-O determines that the HEEL-O® Overnight Hydration Socks cannot be fulfilled within the six-month period represented at the time of purchase, HEEL-O will notify the customer and comply with applicable delayed-shipment requirements. Where applicable, the customer will be offered the opportunity to consent to an appropriately disclosed revised shipment date or cancel the unfulfilled sock component and receive the refund required by law. FTC rules require sellers that cannot meet a promised shipment date either to obtain the customer's consent to an appropriate delay or provide the applicable refund for the unfulfilled portion of purchase. Longer or indefinite delays can require affirmative customer consent.

7. Founding Circle Sock Allocation and Refund

For purposes of the Founding Circle offer, HEEL-O currently identifies the retail value allocated to the HEEL-O® Overnight Hydration Socks as: $59.99, plus applicable tax. Subject to applicable law, if the HEEL-O® NIGHTWELL™ Balm and Ritual Applicator have been fulfilled but the HEEL-O® Overnight Hydration Socks cannot be fulfilled within the stated six-month period and the customer does not consent to an applicable shipping delay, HEEL-O intends to refund $59.99 plus the applicable tax attributable to the unfulfilled socks.

8. Founding Circle Confirmation and Voluntary Cancellation Opportunity

Approximately seven days after a Founding Circle purchase, HEEL-O may send the customer a Founding Circle confirmation and development communication. HEEL-O may voluntarily provide an additional opportunity to cancel an unfulfilled Founding Circle order at that time. This voluntary communication is separate from any legally required delayed-shipment notice.

9. Founding Circle Benefits

Founding Circle members receive the benefits expressly identified on the Founding Circle offer page at the time of purchase. These may include Founding Edition participation, early access, Founding Member recognition, opportunities to provide product feedback, and discounts on eligible future HEEL-O products. Founding Circle membership does not create ownership, equity, partnership, employment, voting rights, distributorship, or other financial interest in HEEL-O Wellness LLC.

10. Product Development

Products under development may undergo reasonable refinements involving materials, construction, color, packaging, manufacturing processes, or other details before final production.

HEEL-O will not use this provision to substitute materially different merchandise in violation of applicable law. If HEEL-O determines that it cannot fulfill an ordered product, HEEL-O will provide the cancellation and refund required by applicable law.

11. HEEL-O® NIGHTWELL Cosmetic Use

HEEL-O® NIGHTWELL™ Calming Hydration Balm is a cosmetic intended for external use according to its labeling. Customers should follow all directions, precautions, and warnings provided with the product. Avoid contact with eyes. If irritation occurs, discontinue use and follow the product's safety instructions. Information HEEL-O provides regarding moisturizing, skin care, trans-epidermal water loss (TEWL), ingredients, or nighttime skin-care routines is provided for cosmetic and general educational purposes and is not medical advice.

HEEL-O cosmetic products are not represented as diagnosing, treating, curing, or preventing disease.

12. HEEL-O Overnight Hydration Garments

HEEL-O® Overnight Hydration Socks and other HEEL-O® hydration garments are intended to support a nighttime skin-care routine. HEEL-O may describe these products as being designed to help reduce moisture loss while worn, including when used alone or with a compatible moisturizer or emollient such as our HEEL-O® NIGHTWELL™ Calming Hydration Balm. Unless expressly supported and lawfully stated, HEEL-O does not represent these garments as treating disease, injury, pain, or any medical condition.

13. Orders and Acceptance

All orders are subject to acceptance and availability. HEEL-O may decline or cancel an order for legitimate reasons including suspected fraud, unauthorized transactions, pricing errors, listing errors, inability to fulfill an order, or other lawful business reasons. If HEEL-O cancels paid merchandise that has not been fulfilled, HEEL-O will provide the refund required by applicable law.

14. Pricing, Taxes and Payment

Prices are stated in U.S. dollars unless otherwise indicated. Applicable taxes, shipping charges, and other charges will be disclosed during checkout. Payment may be processed by third-party payment providers.

15. Shipping

Available merchandise will ship according to the time frame disclosed at checkout or on the applicable product page. The Founding Circle sock pre-order is governed by the six-month shipping representation described above. Carrier delivery estimates following shipment are estimates and may be affected by circumstances outside HEEL-O's reasonable control.

Nothing in these Terms limits a customer's rights under applicable shipment-delay laws.

16. Returns, Refunds and Cancellations

Returns involving merchandise already delivered are governed by the HEEL-O Shipping, Returns & Pre-Orders Policy. Pre-orders are additionally subject to applicable cancellation and delayed-shipment rights. Where applicable law provides greater rights than HEEL-O's ordinary return policy, applicable law controls.

17. Product Safety

If you experience an unexpected reaction to a HEEL-O cosmetic product, discontinue use and seek appropriate medical advice when necessary. Product concerns should be reported using the contact information provided on the product or HEEL-O website. Federal cosmetic law imposes serious-adverse-event reporting obligations on the responsible person for a cosmetic product, including a 15-business-day reporting period for qualifying serious adverse events.

18. Promotions and Discounts

Promotional offers may be subject to expiration dates, eligibility requirements, exclusions, and other terms disclosed with the offer. Unless expressly stated otherwise, promotions cannot be combined, transferred, redeemed for cash, or applied retroactively. Founding Circle discounts and benefits are governed by the terms disclosed with the Founding Circle offer.

19. Intellectual Property

HEEL-O names, logos, product names, designs, photographs, graphics, website content, educational materials, packaging, and other original materials are owned by or licensed to HEEL-O Wellness, LLC and may be protected by trademark, copyright, patent, trade-dress, or other intellectual-property laws. HEEL-O® and other registered marks are used as registered. HEEL-O® NIGHTWELL™, Sleep Deep. Wake Soft.™, Tomorrow Begins Tonight.™, and other marks may be used according to HEEL-O's applicable trademark rights. Nothing on heel-o.com grants permission to reproduce or commercially exploit HEEL-O intellectual property without authorization.

20. Website Use

You may not use heel-o.com to commit fraud or unlawful activity; interfere with website security; introduce malicious software; obtain unauthorized access; impersonate another person; unlawfully scrape or commercially exploit website content; or infringe HEEL-O's or another person's rights.

21. Feedback and Reviews

If you voluntarily provide product feedback, reviews, suggestions, or other content, you represent that you have the right to provide it. HEEL-O may use product feedback for legitimate product-development and business purposes. HEEL-O will obtain additional authorization where legally required before using identifiable customer photographs or testimonials in advertising.

22. Website and Product Information

HEEL-O endeavors to keep product descriptions, pricing, availability, and other website information accurate. Errors may occasionally occur. HEEL-O may correct errors and update website information subject to obligations concerning already-accepted orders and applicable law.

23. Third-Party Services

HEEL-O may use third-party providers for website hosting, payment processing, email communication, analytics, advertising, shipping, and other functions.

Use of third-party services may also be governed by their respective terms and privacy policies.

24. Disclaimer

To the fullest extent permitted by law, heel-o.com is provided on an “as available” basis. Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot lawfully be excluded.

25. Limitation of Liability

To the fullest extent permitted by applicable law, HEEL-O Wellness, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from use of the website.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

26. Governing Law

These Terms are governed by the laws of the State of New Mexico, except where federal law or mandatory consumer-protection laws of another jurisdiction apply.

27. Changes to These Terms

HEEL-O may update these Terms periodically. The “Last Updated” date will identify the current version. Changes will apply prospectively unless applicable law permits otherwise and will not eliminate rights applicable to previously accepted purchases or pre-orders.
